This Tool and any reports generated by it are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, CyberAssure disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Certain consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) cannot be excluded. Where such non-excludable guarantees apply, CyberAssure's liability for breach of any such guarantee is limited, at CyberAssure's election, to re-supplying the Tool or refunding the purchase price paid by you for the Tool.
To the maximum extent permitted by law, CyberAssure, its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of (or inability to use) this Tool, or reliance on any content, results, scores, ratings, or recommendations generated by it, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, whether arising from contract, tort (including negligence), strict liability, or otherwise, even if CyberAssure has been advised of the possibility of such damages.
CyberAssure's total aggregate liability arising out of or in connection with this Tool, whether in contract, tort, or otherwise, shall not exceed the amount paid by you for the Tool in the twelve (12) months preceding the event giving rise to the claim.
You acknowledge that these limitations reflect a reasonable allocation of risk between the parties and form an essential basis of the agreement between you and CyberAssure.
You agree to indemnify, defend, and hold harmless CyberAssure, its directors, officers, employees, contractors, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Tool; (b) your reliance on assessment results or recommendations; (c) any inaccuracy or incompleteness in your responses; (d) any breach of this License and Terms of Use by you; or (e) any third-party claims arising from your use of, or reliance on, the Tool or any reports generated by it.
This Agreement is governed by and construed in accordance with the laws of the State of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.
Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement: This Agreement constitutes the entire agreement between you and CyberAssure in relation to the Tool and supersedes all prior representations, agreements, and understandings.
Version Currency: These terms apply to the version of the Tool as distributed. Updated versions of the Tool may include revised terms, which will be presented for acceptance at first use of the updated version.
